Terms of Service

1. Agreement to Terms

By engaging Growfin Advisors Pvt. Ltd. for advisory services or by using our website, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

2. Services

Growfin Advisors provides financial advisory, tax compliance, audit support, company registration, bank loan documentation, and related professional services. The specific scope of services for each engagement will be defined in a separate engagement letter or service agreement signed by both parties.

3. Professional Standards

All services are provided in accordance with applicable professional standards, laws, and regulations of Nepal. Our chartered accountants and advisors are bound by the professional code of conduct of the Institute of Chartered Accountants of Nepal (ICAN) and other applicable professional bodies.

4. Client Responsibilities

Clients are responsible for providing accurate, complete, and timely information required for us to perform our services. Growfin Advisors is not liable for errors or omissions resulting from inaccurate or incomplete information provided by the client. Clients are also responsible for reviewing all deliverables and notifying us of any discrepancies within a reasonable time.

5. Fees and Payment

Service fees are specified in the engagement letter or service agreement for each project. All fees are quoted and payable in Nepalese Rupees (NPR) unless otherwise agreed in writing. Payment terms are Net 30 days from invoice date unless specified otherwise. Late payments may be subject to interest charges as specified in the engagement letter.

6. Confidentiality

Both parties agree to maintain strict confidentiality regarding all non-public information exchanged during the engagement. Growfin Advisors will not disclose client financial or business information to third parties without the client's written consent, except as required by law, court order, or applicable regulatory authorities. This obligation survives termination of the engagement.

7. Intellectual Property

All methodologies, frameworks, templates, and proprietary tools used by Growfin Advisors remain our intellectual property. Deliverables created specifically for a client engagement become the client's property upon full payment of all applicable fees.

8. Limitation of Liability

Growfin Advisors' liability for any claim arising from our services is limited to the fees paid for the specific engagement giving rise to the claim. We are not liable for indirect, consequential, or incidental damages. Our advisory constitutes professional opinion and recommendation; final decisions and their consequences remain the client's responsibility.

9. Tax and Regulatory Advice

Tax laws and regulations in Nepal are subject to change. Our advice is based on laws and regulations in effect at the time of the engagement. We are not responsible for changes in law that occur after the completion of an engagement, unless we have a continuing advisory relationship that specifically covers monitoring of such changes.

10. Termination

Either party may terminate an engagement with written notice. Clients are responsible for fees for work completed up to the termination date. Growfin Advisors reserves the right to terminate an engagement immediately if the client provides false information, fails to make timely payment, or engages in conduct that compromises our professional obligations.

11. Dispute Resolution

Any disputes arising from these terms or our services shall first be addressed through good-faith negotiation between the parties. If resolution cannot be reached, disputes shall be referred to arbitration in accordance with the Arbitration Act of Nepal, with proceedings conducted in Kathmandu.

12. Governing Law

These Terms of Service are governed by the laws of Nepal. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Kathmandu, Nepal.

13. Changes to These Terms

We may update these Terms of Service from time to time. Updated terms will be posted on our website. Continued use of our services after changes are posted constitutes acceptance of the updated terms.
